1. Introduction

Welcome to ToadPlants. These Terms of Service ("Terms") govern your use of our website and marketplace services. By accessing or using ToadPlants, you agree to be bound by these Terms.

ToadPlants is an online marketplace that connects independent sellers with buyers. We provide the platform and tools to facilitate transactions but are not a party to the transactions between buyers and sellers.

2. Definitions

• "Platform" refers to the ToadPlants website and all related services
• "User" refers to any person who accesses or uses the Platform
• "Buyer" refers to a User who purchases products through the Platform
• "Seller" refers to a User who lists and sells products through the Platform
• "Products" refers to items listed for sale on the Platform

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access
• Accept responsibility for all activities under your account

You must be at least 18 years old to create an account or make purchases on the Platform.

4. Buyer Terms

4.1 Purchasing Products

When you place an order, you are making an offer to purchase from the Seller. The contract is formed when the Seller accepts your order and payment is processed. All prices are displayed in GBP and include applicable taxes unless otherwise stated.

4.2 Payment

Payments are processed securely through Stripe. By making a purchase, you authorise us to charge your payment method for the total order amount. You represent that you have the legal right to use any payment method provided.

4.3 Shipping and Delivery

Shipping is handled by individual Sellers. Delivery times and methods vary by Seller. You are responsible for providing accurate shipping information. ToadPlants is not responsible for delays caused by incorrect addresses or customs procedures.

4.4 Returns and Refunds

Return policies are set by individual Sellers. Please review the Seller's policies before purchasing. For issues with orders, contact the Seller directly in the first instance. If you cannot resolve the issue, contact us at contact@arlo.to.

4.5 Consumer Rights

Your statutory rights under UK consumer law are not affected by these Terms. For distance sales, you may have the right to cancel within 14 days of receiving goods, subject to certain exceptions (such as perishable items like plants).

5. Seller Terms

5.1 Becoming a Seller

To sell on ToadPlants, you must create a Seller account and complete the Stripe Connect onboarding process. You must comply with all applicable laws and regulations regarding the sale of your products.

5.2 Product Listings

Sellers are responsible for the accuracy of their product listings, including descriptions, images, pricing, and availability. You must not list prohibited items or make false claims about your products.

5.3 Order Fulfilment

Sellers must fulfil orders promptly and ship products within the timeframe stated in their listings. You are responsible for packaging products appropriately and providing tracking information where available.

5.4 Payments to Sellers

Payments are processed through Stripe Connect. Funds will be transferred to your connected Stripe account according to Stripe's payout schedule. ToadPlants may deduct applicable fees before transferring funds.

5.5 Seller Responsibilities

Sellers are responsible for:

• Complying with all applicable laws and regulations
• Handling customer enquiries and complaints
• Managing returns and refunds according to stated policies
• Maintaining accurate stock levels
• Paying applicable taxes on their sales

6. Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Attempt to gain unauthorised access to the Platform
• Use automated systems to access the Platform without permission
• Interfere with the proper functioning of the Platform
• List prohibited items including illegal goods, counterfeit products, or hazardous materials

7. Intellectual Property

The Platform and its original content, features, and functionality are owned by ToadPlants and are protected by copyright, trademark, and other intellectual property laws.

Sellers retain ownership of their product images and descriptions but grant ToadPlants a licence to display this content on the Platform for the purpose of facilitating sales.

8. Limitation of Liability

ToadPlants acts as a marketplace platform and is not a party to transactions between Buyers and Sellers. To the maximum extent permitted by law:

• We are not liable for the quality, safety, or legality of products listed
• We are not liable for the accuracy of product listings
• We are not liable for the ability of Sellers to fulfil orders
• We are not liable for any indirect, incidental, or consequential damages

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless ToadPlants and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these Terms.

10. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our discretion. You may close your account at any time by contacting us.

Upon termination, Sellers must fulfil any outstanding orders. Provisions that by their nature should survive termination will remain in effect.

11. Dispute Resolution

For disputes between Buyers and Sellers, we encourage you to resolve issues directly. If you cannot reach a resolution, contact us and we will attempt to mediate.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the new Terms.
